1. Scope
These terms apply to the use of the Cuetto app for Mac, the Cuetto companion app for iPhone and iPad, and the related online services (license server and Remote Access relay), provided by Nicolas Wehmeyer, trading as Cuetto, Am Klostergarten 3, 50858 Köln, Germany (“we”). Deviating terms of users do not apply.
2. Contract and reseller
Paid plans are sold by our online reseller Paddle.com Market Limited (“Paddle”), which is the merchant of record. Your purchase contract is concluded with Paddle under Paddle’s buyer terms. Paddle handles payment, invoices, VAT, cancellations and refunds. These terms govern your use of Cuetto and the license we grant you.
3. License
We grant you a non-exclusive, non-transferable right to use Cuetto for your own purposes, including your work as a DJ. A paid license may be active on up to two Macs at the same time. You may move a license by deactivating a Mac in the app’s settings. You may not resell, sublicense, decompile or modify Cuetto or circumvent its license checks, except where the law expressly permits it.
4. Free plan
The free plan is free of charge and has no time limit. It includes unlimited tagging and, per calendar month and per Mac, writing changes for up to 30 tracks to your library and online lookups for up to 10 tracks. Changes beyond this limit stay saved and can be applied later. We may adjust the scope of the free plan for the future.
5. Pro subscription
Pro is a subscription billed monthly (€5.99) or yearly (€39), including VAT where applicable. The subscription renews automatically for the same period until you cancel. You can cancel at any time, effective at the end of the current billing period, through the link in your receipt email or in the app. After the subscription ends, Cuetto continues as the free plan. Your tags, changes and backups stay yours.
6. Founder license
The Founder license is a one-time purchase (€79) offered only to the first 200 buyers. It includes the features of Pro without a subscription for the lifetime of the Cuetto product (as long as we offer it). Remote Access with a Founder license is subject to fair use: one Mac and two mobile devices.
7. Remote Access
Remote Access connects your iPhone or iPad to your Mac through our relay server. It requires an active Pro or Founder license, a Mac that is awake with Cuetto running, and an internet connection on both ends. We aim for high availability but cannot guarantee uninterrupted service. We may suspend access in case of misuse or excessive use that affects other users.
8. Your library and backups
Cuetto writes changes to your library only when you click Apply, and creates a backup of your library before each apply. Please keep your own regular backups of your music and your library as well, as you would with any software that works with your data.
9. Third-party software
Cuetto works with libraries of third-party DJ software. Updates of that software may temporarily limit compatibility; we will work to restore it in a reasonable time. rekordbox is a trademark of AlphaTheta Corporation. Cuetto is not affiliated with AlphaTheta.
10. Right of withdrawal
If you are a consumer in the EU, you have a statutory right to withdraw from a purchase within 14 days without giving a reason. Because Paddle is the seller, you exercise this right with Paddle. The details are in Paddle’s buyer terms, which you accept at checkout, and in your order confirmation.
For digital content and digital services, your right of withdrawal ends early only if you expressly agree during Paddle’s checkout that performance starts before the withdrawal period ends and confirm that you know you lose your right of withdrawal as a result. Without this agreement, the full 14 days apply.
11. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, and where we have given a guarantee. For slight negligence, we are only liable for breach of an essential contractual obligation (an obligation whose fulfilment makes proper performance of the contract possible and on which you may regularly rely), limited to the damage typical for this type of contract and foreseeable at the time the contract was concluded. For the free plan, we are liable only for intent and gross negligence, subject to the unlimited liability above.
12. Changes to these terms
We may change these terms for the future if there is a valid reason, such as new features or changes in the law. We will inform you in good time before changes take effect. Changes that affect the core of a paid contract require your consent.
13. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of residence. If any provision of these terms is invalid, the rest remains unaffected.
